1. Acceptance of terms

By accessing or using Frankly Speaking (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. About the Service

Frankly Speaking is an AI-powered LinkedIn content platform that helps founders and professionals create, schedule, and publish content. It is operated by David Frank (“we”, “us”, “our”).

3. Your account

  • You must be at least 18 years old to use the Service.
  • You are responsible for keeping your login credentials secure.
  • You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
  • One account per person. You may not share accounts or transfer your account to another person.

4. Acceptable use

You may use Frankly Speaking to create, schedule, and publish content to LinkedIn. You agree not to use the Service to:

  • Publish spam, misleading, or deceptive content
  • Impersonate any person or organisation
  • Violate LinkedIn's own Terms of Service or Community Guidelines
  • Upload or transmit malicious code or malware
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use the Service for any unlawful purpose

5. Content you create and upload

You retain ownership of the content you create, upload, or record using Frankly Speaking, including posts, voice recordings, and documents you add to your content library. By using the Service, you grant us a limited, non-exclusive, worldwide licence to store, host, process, transmit, and display that content solely to provide and operate the Service for you. This licence ends when you delete the relevant content or your account, except for backups retained for a limited period or records we are required to keep for legal reasons.

Content you upload. You represent and warrant that you own, or hold all rights, licences, and permissions necessary to use and upload, any content you add to the Service (including documents, images, audio, and other materials in your content library), and that our storage and processing of that content to provide the Service will not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party. You must not upload content you are not authorised to use.

You are solely responsible for the content you publish to LinkedIn through the Service and for ensuring it complies with applicable laws and LinkedIn's platform policies.

6. AI-generated content

Our platform uses AI to assist with content creation. AI-generated suggestions are provided as a starting point. You are responsible for reviewing, editing, and approving any content before it is published, and we make no guarantees about the accuracy, completeness, or suitability of AI-generated content.

As between you and us, you own the content the Service generates for you from your inputs, interviews, and edits, and we assign to you any rights we may hold in that output. Because this content is produced with the assistance of AI, its eligibility for copyright or other intellectual-property protection may be limited under applicable law and can depend on the extent of your own creative contribution. We do not warrant that AI-assisted output is protectable or free for you to use, and you remain responsible for reviewing it before relying on or publishing it.

7. Subscriptions and billing

  • Some features require a paid subscription.
  • Subscriptions are billed in advance on a monthly or annual basis.
  • You can cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period.
  • We do not offer refunds for unused portions of a billing period, except where required by applicable law.
  • We reserve the right to change our pricing with 30 days' notice.

8. LinkedIn integration

Our Service connects to LinkedIn via their official API. We are not affiliated with LinkedIn Corporation. LinkedIn may change or revoke API access at any time, which could affect the functionality of our Service.

9. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or if we reasonably believe your use poses a risk to us or other users. You will be notified where possible.

You may cancel your account at any time from the Settings page.

10. Disclaimer of warranties

The Service is provided “as is” without warranty of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

11. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

12. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless David Frank and Frankly Speaking against any third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) content you create, upload, record, or publish through the Service; (b) your breach of the content-rights representations in Section 5; (c) your violation of these Terms or of any applicable law; or (d) your infringement or violation of the intellectual property, privacy, publicity, or other rights of any third party. We will notify you of any such claim where reasonably practicable, and we may, at our own expense, participate in its defence with counsel of our choosing.

13. Governing law

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Lucerne, Switzerland.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 7 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
